Welcome to RateAgent.io ("Platform"), operated by LimeworkTechnologies LLC, a company registered in the Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates ("RateAgent," "we," "us," or "our").

These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, and related services. By accessing or using RateAgent, you agree to be bound by these Terms.

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. Your continued use of the Platform after any modifications indicates your acceptance of the updated Terms.

• "User" refers to any individual or entity accessing or using the Platform
• "Agent" refers to real estate professionals registered on the Platform
• "Content" refers to all information, data, text, images, and other materials on the Platform
• "Services" refers to all features and functionality provided through the Platform
• "Review" means any feedback, rating, comment, or testimonial submitted by a User about an Agent's services

You must be at least 18 years of age to use the Platform. By using RateAgent, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If registering as an Agent, you must hold a valid real estate license issued by the relevant UAE regulatory authority (RERA, DLD, or equivalent).

To access certain features, you must create an account. You agree to provide accurate and complete information during registration, maintain the security of your account credentials, notify us immediately of any unauthorised access, and accept responsibility for all activities under your account.

You agree not to:

• Submit false, misleading, or fraudulent information or reviews
• Impersonate any person or entity
• Harass, abuse, or harm other users
• Interfere with or disrupt the Platform's operation
• Attempt to gain unauthorised access to any systems
• Use the Platform for any unlawful purpose
• Scrape, collect, or harvest data without authorisation
• Circumvent any security measures

6.1 IconUser-Generated Content

Reviews are a core feature of the Platform. When submitting a Review, you agree that:

• Your Review is based on a genuine transaction or interaction with the Agent
• Your Review is honest, accurate, and not misleading
• You have not received compensation in exchange for your Review
• Your Review does not contain personal attacks, discriminatory language, or irrelevant content
• You grant RateAgent a perpetual, non-exclusive license to use, display, and distribute your Review

We reserve the right to remove Reviews that violate these Terms or our Review Guidelines. We do not guarantee the accuracy of any Reviews and are not responsible for their content.

The Platform and its original content, features, and functionality are owned by RateAgent and are protected by international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Platform without our prior written consent.

By submitting Content to the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such Content in connection with our Services.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Accuracy, reliability, or completeness of any information on the Platform
• Uninterrupted, secure, or error-free operation of the Platform

RateAgent does not endorse any Agent and makes no representations regarding the quality of services provided by any Agent. Users are solely responsible for verifying Agent credentials and qualifications.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RATEAGENT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or goodwill
• Any damages arising from your use of or inability to use the Platform
• Any conduct or content of any third party on the Platform

Our total liability shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless RateAgent and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

• Your access to or use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Any Content you submit to the Platform

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Request by law enforcement or government agencies
• Fraudulent or illegal activity
• Extended periods of inactivity

Upon termination, your right to use the Platform will immediately cease. All provisions that by their nature should survive termination shall survive.

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Emirate of Dubai, UAE.

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by posting the updated Terms on the Platform and updating the "Effective Date."

Your continued use of the Platform after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Platform.
